Making promises

I was lucky enough to build my startup without needing VC money at all. But at some point, after the company was profitable and growing, I thought about getting some investment. There were a few reasons for it, one of those reasons being how easy it was for me to get interest from VCs (apparently, what VCs like the most is to invest in companies that absolutely do not need VC money).

 

 

At that time, I had a friend that was very experienced in the VC field. He had built and sold several startups, heavily relying on VC money in the process. He was just raising his seed-level round at the time. Naturally, we compared notes.

My friend had founded a brand new company, that had just released a product but had almost no customers and no revenues. However, he had huge plans – he was going to raise between $10 Million to $20 Million for a valuation of about $50 Million. Not bad for a company with no revenue, right?

On hearing this my appetite immediately grew. What valuation do you think I should ask for? I asked him. His answer was surprising: he recommended I ask for no more than $30 Million valuation, despite the fact that my company was already selling a few Million dollars a year and was quite profitable. Wait, what? Are you telling me that even though I’m selling a few Million dollars and you are selling zero, your company’s valuation should be higher?

That’s exactly what he was telling me.

The logic is simple: when you are just starting, and have no sales, you can promise anything. No number is too outrageous to claim when you are at zero. His company may reach a Billion dollars in sales. Who can say otherwise?

On the other hand, when you are already selling, especially if you’ve been selling for a while now, it is harder to promise. What used to be the future when you were at zero, is now the present. If you grew 20% last year, even if it was large in absolutely dollar numbers, how much will you grow in the next few years? 10 Million? 20 Million? Perhaps. But that’s nothing in compare to a potential Billion dollars of my friend’s company.

Reality proved that my friend was right: he received over $20 Million in funding, at a very generous valuation. I gave up on funding because I could not make the outrageous promise I needed to make (and couldn’t convince them even if I had). But although I did not receive funding, I did learn a few precious lessons from the process.

First, there’s a benefit in raising money early, when you are still in the “promise” stage. Some VCs will not invest at such an early stage, but you should find out what is the stage they are comfortable with, and come back to them as early as possible at that stage – don’t wait for later. When you have too many data points, it’s harder to show an incredible trajectory graph, which is what they will be looking for.

The second lesson I learned, is that if you are going the VC route, prepare to shoot for the stars. Getting the funding is not the end of the story: once you made the promise and got the money, you should keep your promise. This means very aggressive growth and very high goals. Consider this: at some point, you may need raise money again. If you haven’t met aggressive goals the first time, it will be hard to get money a second time. In this case, it’s best to aim high and fail, then aim low, meet the low target but fail to raise money and still die.

If you make promises, make them loud, and make them big. Aim high and prepare to make good on that promise.

투자자와 약속하기


제 경우엔 벤처캐피탈의 투자 필요 없이도 스스로 스타트업을 세울 수 있을 정도로 운이 좋았습니다. 허나 회사가 수익을 내고 성장하기 시작하고나서부터는 투자를 받아야겠다 생각하게 되었지요. 몇 가지 이유가 있었는데요, 하나는 당시의 저는 투자자들이 보기에 흥미를 가지기 쉬운 대상이었기 때문이었습니다 (이들은 투자 받을 필요없이도 잘 굴러가는 회사에 가장 관심이 많으니깐요).


그 당시 제 주변엔 투자 쪽에 아주 많은 경험을 가진 친구가 한 명 있었습니다. 이 친구는 이전에도 몇몇 스타트업을 키워 매각한 경험이 있었고, 그 과정 속에 투자자금이 크게 관여되곤 했었습니다. 당시 친구는 투자의 시드레벨 라운드를 올려가는 중이었고, 당연히 저는 그의 기록을 보며 비교하게 되었죠.


이 친구의 경우를 보자면 새로이 회사를 차려 제품을 막 하나 출시한 상태였고, 그럼에도 아직 고객이나 수익을 거의 내고 있지는 못한 상태였습니다. 허나 그에겐 아주 큰 계획이 하나 있었지요. 바로 투자 목표를 1~2천만 달러만큼 높여 기업 가치를 5천만 달러 정도로 받는 것이었습니다. 수익 하나 없는 회사로선 나쁘지 않은 목표였겠죠? 이 말을 듣게되자 곧 저도 욕심이 생겨나기 시작했습니다. 그리고 물었죠. ‘지금 내 회사라면 얼마 정도 기업가치를 인정받을 수 있을까?’ 친구의 대답은 예상 밖이었습니다. 3천만 달러 정도의 기업가치를 얘기해보란 답변을 해주었거든요. 심지어 제 회사는 이미 해마다 수백 만 달러 어치의 매상을 올리며 많은 수익을 내고 있던 상태였는데도 말이죠. 잠깐, 뭐라구요? 이 친구네 회사는 수익이 제로고, 제 회사는 수백 만 달러임에도 이 친구네 회사 값어치가 더 높다는 말을 한건가요?


네, 맞습니다. 논리는 간단했죠. 갓 회사를 차렸다면 아직 세일즈가 없는 상태기에 무엇이던 약속할 수 있다는 겁니다. 후에 수십억 달러의 매출을 내겠다고 말해도, 그렇지 못할 것이라 그 누가 말할 수 있겠냐는 말입니다. 그러나 이와 반대로 이미 매출이 숫자로 나오고 있는 상태라면, 미래에 대한 약속이 좀 더 어려워집니다. 매출이 제로였을 때 바라보았던, 수익을 내고 있는 미래의 모습이 지금 현재가 되어버렸기 때문이죠. 만약 작년에 20%의 성장률을 보여주었고 그 숫자가 대단히 컸다 하더라도, 그 뒤 몇 년간의 매출이 어떻게 성장할 지를 약속할 수 있을까요? 천만 달러? 2천만 달러? 아마도요. 허나 그럼에도 수십억 달러의 잠재력을 약속한 제 친구의 회사보단 여전히 적은 액수의 매출이란거죠.


그리고 실제로 제 친구의 말이 맞았다는 게 증명되었습니다. 그 친구는 투자로 2천만 달러를 받아 내었고, 반대로 저는 투자자에게 그런 무지막지한 약속을 할 수 없는 처지었기에 결국 펀딩을 포기하게 되었습니다 (더욱이 투자자들을 설득할 자신도 없었구요). 비록 펀딩을 받진 않았지만, 여기서 저는 몇 가지 중요한 교훈들을 배우게 됩니다.


우선, 일찍이 투자를 받는 것에 장점이 있다는 겁니다. 심지어 아직 회사가 ‘약속만 할 수 있는’ 상태여도 말이죠. 물론 몇몇 투자자들은 이런 초창기 스타트업에 투자를 하지 않으려 하는데요, 이럴 땐 투자자들이 선호하는 투자 시기를 알아내어 회사가 그 시기에 도달했을 때 가능한 빨리 투자 요청을 해야 합니다. 이미 회사에 축적된 데이터가 많아져버리면, 투자자들이 보고 싶어하는 급격히 상승하는 성장곡선을 그려내고 보여주기가 어려워지게 됩니다.


두 번째로는, 만약 투자 라운드를 돌고 있는 중이라면 목표를 확실히 잡으시란 겁니다. 왜냐면 펀딩을 받는 자체가 끝이 아니기 때문이죠. 투자자에게 약속을 하고 돈을 받아내었다면, 이젠 그 약속을 지키셔야만 하게 됩니다. 저돌적인 성장세와 높은 목표 말이죠. 생각해보세요. 언젠가 투자로 돈을 끌어올 일이 또 필요하게 될 겁니다. 따라서 기존에 목표를 세워두지 못했다면, 두 번째 투자 받을 기회부터는 돈을 끌어오기 어렵게 될 겁니다. 결국 목표를 높이 잡고 실패하는 것이, 차라리 목표를 낮게 잡고 그걸 달성은 하였지만 투자를 못받아 죽고마는 것보다 낫다는 말이죠.


따라서 투자자와 약속을 한다면, 기왕이면 크게 하세요. 목표를 높이잡고 그 목표를 이루기 위해 도전해보시기 바랍니다.
